Terms of Service

1. Acceptance of Terms

By accessing, installing, or using AI EHR (the "Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Software. These terms constitute a legally binding agreement between you (or your organization) and TheMadHacker LLC ("we," "us," or "our").

2. License Grant

Upon purchase of a seat license, you are granted a perpetual, non-exclusive, non-transferable license to use AI EHR for the number of seats purchased. This license:

• Allows use on unlimited devices within your organization
• Includes all features available at time of purchase plus future updates
• Permits deployment on your own servers (on-premise) or our cloud (SaaS)
• Allows integration with your existing HRIS, payroll, and ATS platforms including AI WFM
• Does NOT allow resale, sublicensing, or redistribution of the Software
• Does NOT allow using the Software to build a competing EHR product

3. Restrictions

You agree not to:

• Reverse engineer, decompile, or disassemble the Software
• Remove or alter any proprietary notices or labels
• Use the Software for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' data
• Use AI EHR to build a competing electronic health records product
• Share seat licenses beyond the purchased quantity

4. Data Ownership

You own your patient data. Always. Period. All clinical data, patient records, MIPS scores, and documentation generated within AI EHR remain your exclusive property. We have no claim to your patient data under any circumstance.

Upon termination of your license (for any reason), you retain full ownership of all your data and may export it in FHIR Bundle, CSV, or C-CDA format at any time. We will not charge fees for data export or retention beyond the period required by law.

5. Payment Terms

AI EHR uses a one-time seat licensing model. Payment is due upon purchase. No recurring charges, no per-provider fees, no hidden costs. Annual support contracts are optional and separately priced.

All prices are quoted in USD. Taxes applicable in your jurisdiction will be added at checkout.

6. Warranty Disclaimer

AI EHR is provided "as is" with a 30-day money-back guarantee. We warrant that the Software will perform substantially in accordance with its documentation for the first 30 days. After that period, our liability is limited to the purchase price of your license, as specified in Section 7.

7. Limitation of Liability

Our total liability under these Terms shall not exceed the amount you paid for your AI EHR license. We are not liable for indirect, incidental, special, or consequential damages, including lost profits or business interruption, arising from use of or inability to use the Software.

Exception: We are liable for data breaches caused by our negligence or willful misconduct, subject to the caps in our SOC 2 Type II insurance policy.

8. Termination

You may terminate your license at any time by contacting us. Upon termination:

• All clinical documentation and MIPS features cease
• You retain ownership of all your patient data
• You may export all data within 90 days of termination
• We will not charge termination fees
• The perpetual license remains valid for any on-premise installations you maintain

9. Dispute Resolution

Any disputes arising from these Terms will first be addressed through good-faith negotiation. If unresolved within 30 days, disputes will be settled by binding arbitration under the rules of the American Arbitration Association, in Nashville, Tennessee. Each party bears its own attorney's fees.

10. General Provisions

• These Terms are governed by the laws of the State of Tennessee, USA
• If any provision is found unenforceable, the remaining provisions remain in effect
• We may update these Terms with 30 days' notice via email and in-platform notification
• Our failure to enforce any provision does not constitute a waiver of that provision
• You may not assign these Terms without our prior written consent
• The Software, including all AI models and FHIR implementations, is proprietary intellectual property of TheMadHacker LLC
